Case Study Of S.F. Express Backdoor Listing

In recent years,as the IPO overall listing market increased the difficulty,unlisted quality enterprises got blocked financing in the capital market,in this case,backdoor listing is the main path and way for unlisted high-quality enterprises when they cannot meet the requirements of IPO.Backdoor listing is good,but does not apply to all companies;there are many cases of backdoor listing process fails,with change of China's securities regulatory authorities regulatory policy,the difficulty of backdoor listing has gradually increased.Therefore,how to achieve the rapid development of enterprises by "backdoor listing" successfully,it is a serious challenge for service providers and the proposed backdoor listing of non listed companies.This paper selects the case of S.F.Express backdoor Ding Tai Xin Cai,first the paper describes the relevant concepts,the domestic and foreign research results of the backdoor listing and policy and legal terms,then analyze the backdoor and backdoor party from the view of company background and motivation,and compare backdoor listing with IPO,then introduces the whole process of S.F.Express backdoor listing,to analyze and compare by valuation methods,to summarize the experience from the process of the backdoor and capital operation.In this paper,how to solve the high quality enterprises listed stocks and what should be pay attention to the problem as the starting point,analyze the successful case of S.F.Express backdoor listing as the core point,to describe feasibility,necessity,efficiency and maximize the interests of shareholders in four aspects,explore the core points of backdoor listing process,to make the development strategy for quality of enterprise,and provides reference how to beyond the competitors through the backdoor,prospect the future of backdoor listing.
