A Research On The Reasons And Countermeasures Of The Reconstruction For Trouble SMEs

At present,China is in the shifting period of economic growth and the painful period of structural adjustment.The Nineteenth National Congress has established the goal of attaching importance to quality,improving efficiency and optimizing structure.The new momentum represented by digital economy and high-end equipment manufacturing will promote the transformation and upgrading of old momentum.Under such a background,some industries have excess capacity and low operating efficiency.Especially for the small and medium-sized enterprises(SMEs)which have weak ability to resist risks,they are facing fierce competition pressure because of various reasons,such as the change of economic form and consumption demand,and their survival and development are not optimistic.Reorganization is an important means for small and medium-sized enterprises to get help from outside while actively helping themselves.The core value of enterprise restructuring lies in the rational allocation of resources.For SMEs with difficulties,high-quality restructuring can play the most significant role.This paper discusses the basic theory of SMEs reorganization by using the method of theoretical research,analyzes the motives and reasons for small and medium-sized enterprises to choose reorganization for self-help,and divides the causes of business difficulties into external reasons and enterprises' own reasons.In addition,according to the different characteristics of enterprises,the paper summed up the corresponding restructuring countermeasures through the case analysis of two types of typical enterprises.The paper innovatively proposes to classify small and medium sized enterprises in terms of liabilities.In view of the enterprises with large-scale liabilities,unpredictable creditor's rights and serious insolvency,it is suggested to reorganize the enterprises mainly by bankruptcy reorganization procedure,supplemented by debt reorganization and equity reorganization.In view of the enterprises with less liabilities,clear creditor's rights relationship and simple business operation,it is suggested that thecombination of equity reorganization,debt reorganization,equity reorganization,internal reform and government support should be adopted on the premise of non-bankruptcy.Local governments should actively cooperate with the reorganizing parties and creditor's banks to help the local enterprises in difficulty.Revitalize assets,increase productivity and create benefits.
