| Under the initiative of "the Belt and Road",the scale of Chinese enterprises' overseas mergers and acquisitions is constantly expanding.How to improve the strategic performance after m&a has become a hot topic.Some studies have shown that the institutional logic within the enterprise organization will guide the the enterprise's decision-making behavior in m&a,thus affecting the strategic performance.However,some researches believe that the resource bricolage which means mining and developing inner resources and using external resources is also an important factor which affects the strategic performance of enterprises' overseas m&a.Since most of these studies are confined to discuss the direct impact of institutional logic and resource bricolage on strategic performance,the conclusions are controversial,and fails to theoretically clarify these two factors' s role and relationship on enterprise strategic performance.On the basis of the domestic and foreign relevant research on institutional logic and the theory of resource bricolage,this paper adopts case study method,selecting the event of Qingdao haier's acquisition of General Electric appliances to explore the influence of resource bricolage under different institutional logic on the strategic performance in enterprise merger and acquisition.The results show that the business logic and social logic play an important role in enterprises' overseas m&a.Under the business logic,enterprises develop internal resources to influence the strategic performance after m&a.Under the social logic,enterprises use external resources to influence the strategic performance after m&a.The research's conclusion combines institutional logic and resource bricolage together,which not only constructs the theoretical framework of the influence mechanism of institutional logic-resource bricolage-strategic performance,but also provides reference ideas for Chinese enterprises to improve the strategic performance of overseas mergers and acquisitions. |
