Research On The Legal Issues Of Private Equity Investment Funds

Since 2008,China has become the largest private equity investment fund market in Asia.More and more investors are turning their attention to the field of private equity investment funds,and China's private equity investment funds sector has maintained strong development momentum.This paper briefly introduces private equity investment funds from the concept,characteristics and the distinction between private equity funds and other related concepts.It also introduces the development process and current legislative situation in the field of private equity investment funds in China.At the same time,the advantages and disadvantages of the three organizational forms of private equity investment funds,namely,company system,trust system and limited partnership system,are compared and analyzed.However,with the rapid expansion of private equity funds,there have been some problems in this field,which has hindered the rapid development of private equity funds to some extent.Therefore,this paper analyzes the problems existing in the field of private equity investment funds in China and the shortcomings in legislation from the three aspects of the private equity investment fund's fundraising system,exit system and legal supervision.It also introduces in detail the relevant legislation and regulations of the United States,the United Kingdom and Japan on the field of private equity funds.A brief analysis of the implications of the three countries' private equity investment fund system for China.Finally,the corresponding improvement measures for the private equity fund's fundraising system,exit system and legal supervision are proposed.
