Research On Behavior Preservation In Company Law

China's newly revised in 2012 of the civil procedure law of the People's Republic of China article 100,article 101 of behavior before litigation preservation and act preservation in the regulations,will be scattered in various legal similar system integration,for the development of our country civil procedure law in the field of general provisions,to the corporation law on the act preservation system laid a foundation on the procedural law,and made the principle guidance.The constructive significance of behavior preservation in procedural law has attracted the attention of Chinese civil law scholars since the civil procedure law came into being.The establishment of behavior preservation system in China conforms to the trend of international legislation and meets the urgent need of behavior preservation in judicial practice.The paper begins with the concept of act preservation in corporation law,value,scope of application,such as the corporation law on the behavior of the preservation of censorship standards are studied,through his behavior in the corporation disputes resolution,access rights disputes,controlling interest disputes,such disputes,the application of corporate deadlock that corporation law has the practical significance of the act preservation,and at the end of the article,on the question of whether the applicant scope and need to provide guarantee for the clear.Through the research and discussion of behavior preservation,this paper is expected to draw the attention of scholars of corporation law to behavior preservation,so that behavior preservation can be applied more accurately and comprehensively in corporation law.
