Decision of the Central Committee of the Communist Party of China on Deepening the Reform of Several Major Issuesadopted by the Third Plenary Session of the Eighth Central Committee of the Eighth Central Committee of the Communist Party of China pointed out that it is necessary to actively develop a mixed ownership economy and allow the mixed ownership economy to implement employee stock ownership and form the interests of capital owners and laborers community.This is a major breakthrough in corporate reform ideas,given the enterprise employees to explore the shares and practice with a significant national strategic significance.October 10,2016 issued by the State Council's Suggestions on Stimulating the Power of Key Groups and Promoting the Increase of Income of Urban and Rural Residentspointed out that we should steadily and orderly push the mixed ownership of enterprise employees holding the pilot,to explore the implementation of employee holdings to establish incentives and long-term mechanism.Which further encourages the staff holding system in the enterprise to promote and use,so that employees share to promote a reasonable and orderly distribution of income,sharing reform and economic development of the important system.In the past and present exploration practice of employee stock ownership system,there are still theoretical and practical discussions on the mode of employee holding.The effectiveness of employee stock ownership is directly related to the effect of enterprise management.Appropriate and reasonable choice of employee stock ownership is of great significance both for enterprise and society.As a manifestation of the mixed ownership of enterprises,the relevant research conforms to the policy direction of the party's decision in the Third Plenary Session of the Eighteenth Central Committee of the People's Republic of China,which "allows the mixed ownership economy to implement the employee's shareholding and form the capital owner and the labor The interests of the community " is as an important step in the reform and objectives.Employee holdings can promote the increase of residents' property income,which is of great significance to form a reasonable and orderly distribution system.The enthusiasm of the internal staff is an important driving force for the sustainable development of enterprises,a reasonable distribution system to maximize the mobilization of the enthusiasm of the staff.Employee stock ownership is an effective incentive way,it will optimize the combination of human capital and material capital,in order to achieve the improvement of efficiency,and promote the rational distribution of enterprise distribution system.Employees who make outstanding contributions to the business can get some additional benefits outside the labor remuneration to promote the efficiency and rational distribution within the enterprise.Employee holding trust has rich practice accumulation in western countries,and the research of employee holding trust is of great significance to promote the use of employee stock ownership system in our country.Based on the theory of employee holding and trust,this paper discusses the connotation and advantage of staff holding trust,and provides suggestions for improving employee holding trust,so as to analyze the practice of employee holding trust and promotion to provide reference.This paper is divided into four parts.The first part is the introduction of the concept of employee holdings,while the current implementation of employee stock holdings in China to analyze the problem.The second part will analyze the feasibility of implementing the employee holding trust in our country at present.Through the use of the advantages of employee holding trust to wash,and in accordance with China's current legal framework to explore the staff holding trust of China's applicability.The third part combines the current economic and social characteristics and the level of corporate governance in China,and summarizes the practical problems and obstacles in the practice of employee holdings,and puts forward the corresponding scheme of building employee trust.In view of the problems in the practice of non-standard operation,the lack of protection of employee rights and interests,the incentive effect is not obvious and so on,summarize and analyze the causes of the problem,design the macro employee trust plan at the same time,refine the specific operation plan,advice on the implementation of ESOTs.The fourth part will analyze and discuss the specific legal issues such as trust registration and trust tax,which are common in the implementation process of employee holding trust,and put forward the corresponding solutions to the above problems under the existing legal background of our country.
