Equity incentive is an effective long-term incentive method.A reasonable equity incentive system can reduce agency costs,stimulate employees' potential dynamism,and help companies improve their performance.However,unreasonable equity incentives can have the opposite effect,so the system construction is critical.S catering company is a typical private group meal company,which has strong dependence on human capital.With the expansion of the company's scale and the increase of personnel,it is urgent to introduce equity incentives.Therefore,the purpose of this thesis is to build a scientific and reasonable and operable equity incentive system for S-catering company,and to provide reference for other group meal companies or catering companies.Firstly,the thesis sorts out the related literature on the implementation effect of equity incentives,the factors affecting the effects of equity incentives,and the equity incentive system;then based on the relevant theories,the thesis analyzes the structure of equity right and the mechanism of equity incentive,and deeply compares and analyzes the original equity incentive mode.In this way,the elements of equity incentive system and its construction rules are separated preliminarily.Secondly,the environment of equity incentives implemented by S-catering companies is analyzed.Based on the development characteristics of group meals industry,this thesis analyzes the basic conditions,organizational structure,key personnel,and the advantages and disadvantages of existing incentive systems of S-catering companies through various methods such as data acquisition,research and interviews,and on-site experience,which provides basic information for building the specific equity incentive system of S-catering companies.Thirdly,the thesis focuses on the analysis of various factors of the equity incentive system elements,the classification and comparison of equity incentive methods from the perspective of equity ownership,incentive objects,and grant time,and summarizes the construction of the equity incentive system,which can provide a clearer framework for the specific construction of the system.Finally,starting from the elements of equity incentiveobjects and incentives,stock sources,incentive quotas,incentive time,exercise conditions,exercise prices,and exit mechanisms,a set of equity incentives has been specifically constructed in accordance with the specific circumstances of S-catering company.
