Chinese family business after thirty years of development,the majority of a generation has been nearly sixty,the succession problem imminent.Influenced by Chinese traditional culture,"gen" generation generally give priority to inheriting their businesses to their children.However,"the two generation" is not necessarily able to assume the responsibility of managing family businesses because of their interests or personal capabilities.Therefore,in recent years,a large part of the family business began to introduce the occupation managers to be responsible for the day-to-day management of the enterprise,but the cooperation between the two sides from the initial "xiangjianhenwan" to the end of the "part" and "court",therefore,family business owners must have planned the selection and training of occupation managers,establish and perfect the succession mechanism,in order to maintain evergreen family business.This paper adopts the research method of combining theory and case studies,in the decoration industry leading enterprises,Gold Mantis joint-stock company as an example,combining principal-agent theory and incentive theory,the mantis jointstock company of management right transfer process as a clue,from the three aspects of Successor Selection,succession content,succession way detailed introduces the system design of the mantis stock company occupation managers succession.Then,from the perspective of corporate governance,the five aspects of agency cost,corporate governance mechanism,financial performance,innovation performance and investment level are analyzed comprehensively,combined with the market reaction of the founder when they are caught,the performance of the post class governance is analyzed in detail.The study found that the mantis shares of the company will transfer to the right to operate occupation manager team,agency cost reduction,corporate governance mechanism has been optimized,significantly enhance the financial performance,innovation performance and the level of investment is in the same industry leading level,while the founder Zhu Xingliang was arrested when the market reaction is relatively stable,so that the mantis stock company manageris successful occupation conclusion.Finally,summarize the successful experience of the mantis company occupation managers succession,found that family enterprises in the selection of occupation managers to take over,can give priority to internal occupation managers,improve the internal restraint mechanism,the establishment of family members and orderly exit mechanism,set a succession plan system in advance,the establishment of a fair and reasonable incentive mechanism,to create a fair and open enterprise culture and other measures for the occupation managers smooth succession and lay the foundation for the continuation of life,family enterprises create conditions.
