| In the early 1990s,equity incentive was introduced into China,mainly in the form of internal employee shares.In 1999,equity incentive was transferred to incentive.In 2001,the implementation of option system began,and management buyout in 2002 appeared.In 2006 after the reform of non tradable shares on the equity incentive laws from the accounting treatment and tax treatment,information disclosure and other aspects of the specification.And relates to a method for state-owned enterprises,the gem and other aspects,and constantly improve the law to create good conditions for our company to implement equity incentive.According to the statistics of Tai’an database,from 2006 to the end of 2016,a total of 911 companies announced the implementation of the equity incentive plan,and 142 of them finally cancelled the implementation plan of equity incentive.Among them,the pharmaceutical manufacturing enterprises implemented 148 equity incentives from 2006 to 2016.The incentive form is mainly restricted stock,and a few companies choose stock option and stock appreciation rights as the form of equity incentive.From the analysis of equity incentive and the financial performance of the following six parts.The first part is introduction:the research background and significance,as well as the influence factors of equity incentive,equity incentive and corporate performance,the relationship between equity incentive scheme and implementation effect of the three aspects of the literature review.The second part:related concepts and basic theories:from equity incentive and performance concept to basic understanding of equity incentive performance,and further analysis of equity incentive through principal-agent theory,incentive theory and human capital theory.And a brief introduction to the analysis of event analysis,economic value added and financial index analysis.The third part:the analysis of the current situation of equity incentive in China:first,the implementation status of pharmaceutical manufacturing is analyzed,and the two is the analysis of the implementation of equity incentive in pharmaceutical manufacturing industry.The fourth part:the validity of equity incentive scheme is analyzed from the equity incentive scheme itself and the background of the pharmaceutical manufacturing industry.The fifth part:through the analysis of the event analysis,the economic value added method and the financial index analysis method,the effect of the equity incentive is analyzed.The sixth part the conclusion and suggestion of HZ medicine company equity incentive effect was summarized and put forward opinions and suggestions.In this paper,based on previous studies,from the financial indicators,event analysis,equity incentive and economic value added analysis was conducted on the effect of equity incentive,and analyzed the macro and micro environment combined with the company’s equity incentive,so as to encourage the implementation of equity incentive scheme,with reference to the design of company equity. |
