Research On Problems And Countermeasures Of The Private Placement Of DB Company

Since the Share reform in 2006,private placement has been gradually recognized and even sought after by domestic listed companies.Nowadays,private placement has become a very important means of refinancing listed companies.From 2007 to 2016,the private placement of listed companies has increased by nearly six times the scale of financingLooking back at the literature on private placements in recent years,the author found that different scholars have different views on the issue of the effect of private placement on business performance,and there are different studies on the benefit transfer of private placement.Directed issuance as an important means of refinancing,the economic consequences of the issuance and the problems that exist in the issuance of additional shares directly affect the immediate interests of listed companies and investors,and thus affect the quality of the entire economic market.Therefore,the author discusses the economic consequences of the private placement of DB companies and the problems in the process through the combing of related theories and the case of three additional private placements of DB companies.The first part of the thesis is the prolegomenon,which mainly present the research background and significance of the research.This part explains the intention and reasons of the paper,and introduces the research ideas of the paper.In this chapter,by collating domestic and foreign research status and review,we have combed the research results of domestic and foreign scholars on issues related to private placement.In combing,the author also divided the study of related scholars into two parts,namely the performance evaluation of private placement and the interest transfer problem in private placement.The second chapter is the characteristics and basic theory analysis of private placement,this section introduces the concept definition of private placement,including the connotation and characteristics of private placement,the classification of private placement,the changes in the performance of different types of private placement-and the benefits The definition of transportation.This chapter also analyzes the theory of interest transfer in private placements and summarizes the common approaches to the transfer of benefits.The third chapter is an overview of the private placement of DB companies.This part presents the basic situation of DB company.introduces the background and process of its three private placements.The fourth chapter is the existing problems of the private placement of DB companies and their causes.Based on the information in the third chapter,this chapter introduces in detail the problem of interest transfer and other problems in the private placement of DB companies discovered by the author,and analyzes the causes.As the end of this article,Chapter 5 is the conclusions and recommendations.This part summarizes the full text,summarizes the previous research results,and proposes corresponding countermeasures and suggestions for the problems identified.In the end,this paper brings forward the insufficiency of the research and the prospect of future research.
