| With the rapid development of the socio-economic level,competition among enterprises has become increasingly fierce.Many companies through mergers and acquisitions to expand market share and strengthen core competitiveness.In recent years,the high-quality resources of the NEEQ market have received increasing attention from A-share listed companies.The merger and acquisition of high-quality NEEQ companies has become one of the ways for listed companies to expand and transform their businesses.Based on the above background,this article discusses the listed companies' M & A issues on the NEEQ from the perspective of M & A development status,M & A motivation and M & A performance.This article first reviews the relevant literature and theories,introduces the growth history and M & A status of China's NEEQ,and analyzes the motivations of current listed companies to implement NEEQ companies;secondly,this article takes Sunwave Communications M & A Jw Technology as an example,analyzes in detail the motivation of Sunwave Communication and Jw Technology's M & A,and then analyzes the short-term effect of the M & A through the event research method,and analyzes the long-term performance through financial indicators.Through the above analysis,it is concluded that Sunwave Communications has indeed achieved a certain synergy after the acquisition of Jw Technology,but there are still certain problems.After the merger and acquisition,the business scope of Sunwave Communications has rapidly expanded,the operating income has increased significantly,the level of asset operations has improved,the ability to control expenses has increased,and the solvency has also increased.However,due to business integration issues,the profitability of Sunwave Communications has declined after rapid growth.Based on this,this article summarizes some suggestions and provides some suggestions for the healthy development of the listed companies in China's merger and acquisition of new third board companies. |
