In the global competition,in order to catch up with the leading enterprises from advanced economies,many Chinese enterprises have adopted R&D internationalization,a "springboard" strategy for late-coming enterprises,to further enhance their innovation capabilities.At the same time,more and more executives with overseas backgrounds appear in the top management team(TMT)of Chinese enterprises.This type of executive plays a vital role in promoting firm innovation capabilities,since they not only have mastered the frontier technical knowledge and management experience from overseas,but also have accumulated a wealth of international interpersonal networks.However,there are few studies currently focus on the realization process of the influence of top management team with overseas backgrounds on enterprise R&D internationalization and the role of executive incentive as an important factor in enterprise internal governance.This study not only starts from the integration of executives with overseas backgrounds and local executives in Chinese listed enterprises,but also starts from the internal governance perspective of these enterprises.Based on the Upper Echelons Theory,Knowledge-based View,Team Conflict Theory,The Open Innovation,Relational Demography and Principal-agent Theory,this study concludes three major findings through an empirical analysis of Chinese listed enterprises in computer,communications and other electronic equipment manufacturing industry,pharmaceutical manufacturing industry,instrumentation manufacturing industry,Internet and related services industry,software and information technology services industry and professional technical services industry from 2013 to 2018:(1)As the proportion characteristic of the overseas backgrounds of the top management team,the proportion of executives with overseas backgrounds has a significant positive influence on R&D internationalization of enterprises;(2)among the structural characteristics of the overseas backgrounds of the top management team,the differences from tenure between executives with overseas backgrounds and local executives have significant negative influences on R&D internationalization of enterprise;the differences from education backgrounds between executives with overseas backgrounds and local executives have significant positive influences on R&D internationalization of enterprise;meanwhile,the differences from age and gender between executives with overseas backgrounds and local executives have no significant influence on R&D internationalization of enterprises;(3)executive incentive serves as a significant moderator between the proportion of executives with overseas backgrounds and R&D internationalization of enterprises.Based on the micro level,this study takes Chinese enterprises as the research objects,to focus the internal situation of enterprises.The study separately analyzes the influences of the proportion characteristic and structural characteristics of the top management team with overseas backgrounds on R&D internationalization of enterprise.Furthermore,the incentives of executives are taken into the analysis to explore the specific effect from the internal governance of enterprise.This study extends the achievement of the related fields.At the same time,the results of this study provide some certain theoretical guiding significance of forming and managing the top management team with overseas backgrounds for the enterprise which focuses on R&D internationalization.
