Research On The M&A In The Listing Of State-owned Financial Holding Group

In recent years,China's financial supervision system has been continuously improved,and regulatory policies have been intensively introduced.In order to seize market opportunities,strengthen their own strength,and resist market risks,the financial industry has set off a wave of restructuring.This article takes China's first local gold control listing platform Yuexiu Jinkong as an example to study the application of capital operation in the listing of local financial control platform from the micro-operational level,and analyze the merger and reorganization through the introduction of Yuexiu Jinkong into the Guangzhou friendship process.Motivation,the choice of listing subject and path,the determination of transaction consideration and the synergy effect after mergers and acquisitions,try to provide a feasible reference for the extension of China's local financial control platform.Through the analysis of the case,the following enlightenment and suggestions are obtained: First,the local financial control platform needs to combine its own development strategy to carry out capital operation according to local conditions.Second,the local financial control platform can use the opportunity of China's industrial structure transformation and upgrading to implement the industry and finance.Third,balancing the interests of all parties is a key factor for the successful implementation of mergers and acquisitions;Fourth,using the policy opportunities of the financial market,strictly adhere to the rule red line in the process of capital operation;In combination with the local regional development plan of the financial control platform,it seeks to strengthen itself while helping regional economic development.Sixth,the state-owned local financial control platform can use the SASAC to coordinate and advantage.
