In recent years,more and more attention has been paid to the medium and long-term incentive of state-owned enterprises,but different types of enterprises adopt different medium and long-term incentive methods.The author works for N company,a group state-owned enterprise,and takes the lead in studying the feasible medium and long-term incentive methods of N company.On this basis,the author designs the specific incentive scheme and promotes its implementation.Taking N company as the research object,this paper studies the choice of longterm incentive mode,incentive scheme design and subsequent improvement measures.This paper first reviews the relevant research results of medium and long-term incentive at home and abroad,summarizes several representative theories,combs the main policies of the country,introduces several typical medium and long-term incentive methods and related cases of state-owned enterprises,such as employee stock ownership,equity incentive,dividend incentive,etc.After analysis and demonstration,this paper proposes that the most suitable medium and long-term incentive mode for N company is equity incentive of listed company,designs and implements the first medium and long-term incentive scheme of N company.The first medium and long-term incentive scheme of N company has achieved initial results,but there are still some deficiencies.In order to improve the incentive method,this paper introduces Hikvision’s implementation of medium and long-term incentive,summarizes its successful experience,and puts forward relevant suggestions to improve the medium and longterm incentive method of N company: first,continue to implement equity incentive,broaden the scope of incentive,adjust the schedule,and improve the assessment.The second is to build a flexible and diversified incentive mode,refer to the innovation business follow-up investment of Hikvision,explore the establishment of new business companies,and allow key employees to follow the investment and share holding.The third is to establish a evaluation mechanism,timely evaluate the implementation effect,and dynamically improve the incentive mode.The main conclusions of this paper are as follows: first,standardized corporate governance is the premise of medium and long-term incentive.Second,diversified ways can stimulate the effectiveness of medium and long-term incentives.Third,the normalized mechanism can give full play to the talent gathering effect of medium and long-term incentives.To sum up,this paper takes N company as the case study object,analyzes how to determine the medium and long-term incentive mode,designs and successfully implements the first medium and long-term incentive scheme,excavates its shortcomings,compares with the successful experience of Hikvision,and puts forward some improvement suggestions,which has certain reference significance for other state-owned enterprises of the same type.
