| Over the past 40 years of reform and opening up,the state has adopted and revised a series of draft laws related to equity incentive,temporizingly issued supporting policies to support the company’s implementation of equity incentive,adopted flexible arrangements for various elements of the company’s equity incentive,and dispelled the company’s concerns about the restrictions on securities public offering rules when implementing the equity incentive plan,it makes the institutional environment for the implementation of equity incentive more and more relaxed,and also promoted the development of the company’s equity incentive.At present,the middle and senior managers of G company have great incentive problems.Meanwhile,in the process of development,more attractive incentive systems are needed to attract and retain talent to create greater value for the company,increase its competitiveness and improve its business performance.At present,the company lacks long-term incentive measures,and the current incentive system fails to achieve the purpose of motivating middle and senior managers and attracting external talents.At the same time,the shareholders of the company also have a strong desire to carry out equity reform.This paper first combed the theoretical knowledge related to equity incentive,and determined the concept,basic elements and operation process of equity incentive,under the guidance of related theory,and took G Company as a research case and put forward an equity incentive plan suitable for the middle and high levels of G Company,and deeply analyzed the current incentive status and existing problems of G Company by using questionnaire and interview method.At the same time,it summarized why G Company should design the middle and high level equity incentive plan.Then,combined with the actual situation of the company,It designed the middle and high-level equity incentive plan of G Company,and determined the incentive object and price with scientific and reasonable methods.Determined the post value coefficient scientifically and reasonably with Hay group evaluation method,thereby determined the allocation of the number of shares,compared the advantages and disadvantages of various valuation methods,and finally selected the market valuation method,and then determine the stock price.Combined with the contract elements,generally speaking,the equity incentive plan for the middle and senior level of G Company is reasonable.Meanwhile,the guarantee measures for the implementation of the equity incentive plan for the middle and senior level of G Company were put forward,through the plan implementation,it will promote the management innovation and technological innovation of the company,enhance the core competitiveness and development vitality of G Company;While implementing the equity incentive scheme,it will broaden the financing channels,attract outstanding non-shareholders middle and senior management to join in to become shareholders,enhance the cohesion of the company and serve the company long-term and stable development strategy.On the other hand,it provides reference for the design of equity incentive system of other small and medium-sized private enterprises with IPO plan. |
