Since the real estate industry entered the "silver era" in 2013,the land cost has been continuously raised,corporate profit rate has been continuously reduced,and the industry has entered a deep adjustment.In this context,the rise of real estate mergers and acquisitions has become one of the main means of housing enterprise strategic expansion.M&A is an effective way of operation for real estate enterprises to accelerate their development.Through M&A,land resources with relatively low cost can be acquired,product development can be accelerated,market share can be seized quickly,and capital turnover rate of enterprises can be improved.However,as the M&A of real estate enterprises usually involves a lot of capital and scarce land resources,it is particularly important to effectively avoid the corresponding legal risks in the case of smooth M&A and capital security.This article selects the real estate m&a this hot topic as the research object,through to the legal investigation and assessment of the debt,mergers and acquisitions mode set the path of choice of law,trade payment law,raise the tax legal scheme design and trading restriction to study the legal problems such as difficult problem analysis,and combined with the difficult problem of real estate enterprise M&A legal risk prevention and related legal systems of our country should perfect the corresponding measures are put forward and the suggestion,in order for the merger and acquisition of real estate enterprises have certain realistic and guiding significance.This paper is mainly composed of three parts: preface,text and conclusion.The preface briefly expounds the background and significance of this study and summarizes the research trends at home and abroad.The body is divided into three chapters.The first chapter briefly summarizes the definition and characteristics of real estate mergers and acquisitions,as well as the motivation and mode of M&A.Chapter two focuses on the various legal risks in M&A,and makes a detailed analysis of such difficult problems as the legal investigation and evaluation of debt,the legal selection of M&A mode,the legal setup of transaction payment path,the legal scheme designof tax financing and the legal problem of transaction restriction.Chapter three puts forward the corresponding measures and Suggestions on how to effectively prevent the legal risks of M&A and the imperfections of the existing legal system in China.The conclusion part mainly combines the main viewpoints of the first two parts,and puts forward the prospect of the development of M&A and risk prevention and control of real estate enterprises.
