Contract legal system is one of the criteria of modern commercial activities.The contract deadlock is often due to the failure of the other party after the conclusion of the contract.This paper explores the solution of contract deadlock by studying the liability for default system.This paper analyzes the contract impasse,and analyzes the different legal value of efficiency value,legal morality and fair justice value.The conclude that the breach should be punitive should be treated differently in accordance with the nature of the breach.In the case of a single case,the responsibility of breach of contract with fair priority to efficiency should be adopted,and the rights and obligations of the two parties shall be reasonably distributed when dealing with the problem of contract deadlock.Chapter Ⅲ of this paper discusses the disadvantages of the actual performance in solving the problem of the contract deadlock,and demonstrates the necessity of damages to solve the contract deadlock problem.Anglo-American law generally pays damages to the aggrieved party by way of breach of damages.In Chapter 4 of this paper,the solution of the contract deadlock.Chapter Ⅴ discusses the scope of damages,mainly from the three aspects of the performance of the contract to evaluate the breach of the contract,details the specific scope of the damages,so as to guarantee the rights of the damaged party,but not much for the purpose of increasing the burden of the parties to the contract. |
