On The Application Of Contract Interpretation In Judicial Cases ——A Case Of Sun’s Lawsuit Against A Logistics Company And Wang’s Partnership Dispute

A contract is reached by the parties through consultation on the agreed matters and is binding on both parties.However,due to the limitations and complexity of the language of the contract text,ambiguity and ambiguity often occur,resulting in unclear or omission of the meaning of the contract,thus causing contract disputes,so it is necessary to interpret the contract.As an important part of contract law,contract interpretation has research value both in theory and practice.This paper takes the case of sun mou,Zhou Mou xing and a logistics company,Wang Mou contract dispute as an example,and discusses the specific application of basic theory and interpretation method of contract interpretation in judicial practice.In terms of the interpretation of contract,there are drawbacks in both representationism and idealism,while the interpretation of contract based on the combination of the two is more conducive to exploring the true meaning of the contract parties when they conclude the contract.Among the various methods of contract interpretation,the semantic interpretation shall take precedence.When the meaning of the parties cannot be clearly defined through the semantic interpretation or there is a conflict between the meanings of the contract terms,the interpretation can be carried out through the systematic interpretation method combined with the purpose and customary interpretation method.The honest credit as the fundamental principles of civil law,also can explain the contract plays an important role in methodology significance,using the methods,system,purpose,used to explain the interpretation of the conclusions still appeared not fair conclusion,can use good faith between the parties to a contract,the parties to a contract and the benefit balance between social and public interests.In this paper,the contract text involved in the case is determined by the scope of objects related to the nature of the case,and the priority is given to the semantic interpretation and the order of supplementary application of other interpretation methods.The conclusion is drawn that the legal relationship involved in the case includes both partnership relationship and loan relationship.Through the use of explanation method,wang mou should not assume the repayment responsibility of the conclusion.Finally,the author take the case as a starting point,put forward as a contract dispute resolution system of civil law,contract shall be clearly explain the main body is a judge,not only shall include the provision of the contract,contract interpretation shall also include contract negotiations,signing,performance,such as facts,and you need to follow any of contract interpretation method,system,purpose or habit,the honest credit order,In order to give full play to the role of contract interpretation in resolving disputes,it is necessary to establish the case guidance system of contract interpretation and strengthen the analysis and demonstration of the application of contract interpretation.
