Research On Risk Control Of Goodwill Impairment In M ＆ A Of Game Enterprises ——A Case Study Of Zeus Entertainment M ＆ A Of Oasis Game

At the beginning of 2019,after many listed companies disclosed their annual performance reports in 2018,game companies frequently experienced unpredictable great loss of stock leading to rapid slump on the stock.Among them,“Dalian Zeus Entertainment Co.,Ltd（002354）” ranked first with a loss of 7.8billion￥,which lead to many stakeholders suffering deeply.It is found that the large number of mergers and acquisitions carried out in recent years accumulating value of goodwill,which impacted the great loss of achievement of companies.According to the current accounting policy,the goodwill formed by enterprise merger and acquisition needs to be tested at least once before the end of the year.However,some enterprises suffer from huge loss of goodwill due to the goodwill impairment test,which leads to a series of adverse economic consequences.Facing the risk of goodwill impairment,it is urgent to know how to control the risk of goodwill impairment.This thesis selects Dalian Zeus Entertainment Co.,Ltd.as the research object.The company is a typical light asset media game company,which has the characteristics of high proportion of goodwill in net assets,and the recent huge amount of goodwill impairment has led to serious economic consequences.Combined with the existing research results of risk control theory and goodwill impairment risk management,this thesis studies the case of Zeus Entertainment M＆ A Oasis Games.First of all,from the perspective of goodwill,this thesis makes a theoretical analysis the specific reasons for the formation of goodwill impairment risk.Secondly,integrated with the causes of goodwill impairment,this thesis systematically constructs a dynamic goodwill impairment risk control framework with the whole process of M ＆ A.Thirdly,leveraging the risk management framework of goodwill impairment,this thesis analyzes the case and puts forward specific and feasible goodwill risk control scheme.The main contribution of this thesis is from the perspective of goodwill risk control,based on the whole process of enterprise merger and acquisition,to carry out step-by-step tracking management,which mainly includes four aspects in the preparation stage of merger and acquisition,four aspects in the implementation stage of merger and acquisition,and the tracking management in the integration stage of merger and acquisition to facilitate the management of goodwill risk.On the one hand,the research of this thesis provides a specific control process reference for the managers of game enterprises for the management of goodwill impairment risk,on the other hand,it provides a practical method for other external stakeholders to identify the goodwill impairment risk,so as to reduce the negative economic loss caused by the goodwill impairment risk.
