A contract is a document that restricts the rights and obligations of both parties in a commercial activity.In many large financial groups,contract review is often an important part of their business processes.Due to the large amount of information and the number of pages of contract documents,manual review will consume a lot of manpower and financial resources,and there are some unavoidable operational risks.At present,some review tools for general contract documents cannot meet some review scenarios for asset disposal contracts.Secondly,some review systems,as a subsystem of an office automation system(OA system),rely on the business of the system and cannot complete contract review on specific occasions.Business,and there are some operational risks.Based on the relevant business and data of the contract review link in China Huarong Asset Management Company,this topic has problems such as low review efficiency,high operational risk,and high coupling between the review business and other systems for the two main businesses of multiple rounds of contract review and contract information extraction.Combining the existing expert experience rules and text processing techniques related to asset handling contracts,an asset disposal contract based on contract version comparison function,contract risk review function,contract element extraction and identification function,and contract compliance reminder function is built.Auxiliary review system.The relevant data used in this topic mainly comes from China Huarong Asset Management Company.The relevant data mainly includes more than 100 asset processing contract documents and contract templates,more than 200 contract elements compiled by the company’s business personnel,and more than 600 companies.Articles of legal provisions related to the contract.This system is a project with a front-end and back-end separation architecture.The front-end uses the Vue.js framework as a user interaction platform,while the back-end is based on the MVC architecture.It uses frameworks and technologies such as Flask and SpringBoot to provide contract review related services,and uses a Docker container for the system.Deployed to build a well-interacted,efficient and convenient contract review auxiliary platform.In the implementation of system functions,some text processing algorithms,such as MD5 information digest algorithm,Simhash algorithm,Diff text difference algorithm,and the use of Word2Vec word vectors to calculate text similarity,are used to implement contract comparison functions,using regular expressions,location matching,etc.The method extracts the contract elements of the contract text,and these two functions are used as the basic functional modules of the system and reused in the two functions of contract risk review and contract compliance reminder.After the system passed the complete test,it effectively realized the set target function and met the needs of contract review business personnel.
