Under the background of continuous development and improvement of capital market and increasing attention to human resources,equity incentive system comes into being.It motivates talents to a certain extent,alleviates principal-agent contradiction,makes the interests of shareholders and employees tend to be unified,so as to maximize the positive effect of human capital on the company.Since the emergence of China’s equity incentive system at the end of the last century,it has developed rapidly and has been accepted and successfully implemented by more and more enterprises.However,there are many cases of incentive failure caused by unreasonable element design,which shows the importance of targeted design of each element of incentive plan.As a high-tech enterprise in the innovation layer of the New Third Board,C Company belongs to the segmented industry of wind power equipment parts,and human resources play an irreplaceable role in the discovery and creation of its value.But in the current international and domestic economic downturn,the new outbreak of normalized environment,business under pressure,and in terms of internal,because the evaluation mechanism is not sound,lack of flexible motivation mechanism,the personnel mobility is higher,such problems as lack of work enthusiasm,serious impact on the company’s performance,and from the company longterm development perspective,Equity incentive plans are necessary.This paper choose the stock option incentive model,to share allocation in full consideration of the position characteristics and employee loyalty,and the design of the condition of exercise not only integrated the company’s growth index and comprehensive index,also reflected the main performance of the employee assessment period,but the overall condition of exercise of the threshold is not high,mainly expect to unite a personnel,stable performance.In addition,combined with the internal and external characteristics of C company and the purpose of this incentive plan,this paper can also provide reference for technology-intensive enterprises and small and medium-sized enterprises that want to implement equity incentive in the future.
