Research On Non-prosecution System Of Coporate Compliance

The practical exploration of the corporate compliance non prosecution system is not only to address the compliance risks faced by Chinese enterprises in the process of going out,but also to enhance the protection of domestic enterprises and promote the development of the national economy.The corporate compliance non prosecution system is an "imported product" that originated in the United States and was later incorporated by countries such as Britain and France to establish their own corporate compliance non prosecution system.China is currently on the path of exploring practical pilot projects.To construct a non prosecution system for corporate compliance in China,it is not only necessary to learn from rich institutional experience abroad,but also to base ourselves on national conditions and proceed from the actual domestic situation.This article will conduct a study of the corporate compliance non prosecution system from the following five parts:The first chapter is an introduction,which mainly analyzes the relevant research background,research significance,and research status at home and abroad of the corporate compliance non prosecution system.It can roughly clarify the basic dynamics of the current corporate compliance non prosecution system and provide a theoretical basis for the subsequent writing of this article.The second chapter is the basic issues of the corporate compliance non prosecution system.Firstly,clarify the concepts of "corporate compliance" and "corporate compliance non prosecution";Secondly,it analyzes the theoretical basis of the corporate compliance non prosecution system,from which it can be seen that the corporate compliance non prosecution system has soil for its development in China;Finally,it analyzes the necessity and feasibility of constructing a non prosecution system for corporate compliance.The third chapter is to investigate the compliance non prosecution system of enterprises outside the region.The compliance non prosecution system of enterprises outside the region has developed earlier and achieved considerable results.Therefore,the practical exploration of the compliance non prosecution system of enterprises in China and the final establishment of the system can learn from the existing system and experience,take its essence to remove its dregs,and finally build the compliance non prosecution system of enterprises in line with the actual situation in China.The fourth chapter mainly analyzes the main problems existing in China’s current practice pilot projects.During the practical pilot exploration,there are disputes in theory and practice regarding the applicable objects of the corporate compliance non prosecution system,procedural issues in the operation of the corporate compliance non prosecution system,and the third-party supervision,evaluation,and acceptance mechanism.Analyzing this can solve some issues in practical exploration and promote the improvement of the corporate compliance non prosecution system,And provide the basis for the formal construction of the future corporate compliance non prosecution system.Chapter 5 is a preliminary solution to the problems existing in the practical pilot project.Studying and analyzing it can not only provide some ideas for dealing with the problems existing in current practice,but also provide some ideas for the construction of a future corporate compliance non prosecution system.
