Research On Independent Director System Of Chinese Listed Companies

Corporate governance structure is crucial to the development of enterprises.The United States faces the problem of "board centralism" in corporate governance,while China faces the problem of "insider control" in corporate governance.The United States took the lead in establishing the independent director system to solve the above problems,and China also formally introduced the independent director system in 2001.However,due to significant differences in the domestic social environment and institutional foundation compared to foreign countries,many problems have arisen in implementation.This article starts with the development status of the independent director system,adopts comparative research method and literature research method,points out the problems in the operation of the independent director system,and draws on the successful experiences from abroad to improve our independent director system.This article is divided into four parts.The first part introduces the connotation and legislative status of independent director;The second part makes use of CSMAR database,China Judgement online,China Securities Regulatory Commission official website and other channels to do some data comparison and case study,and summarizes the current deficiencies of China’s independent director system;The third part introduces the development status of the independent director system outside the region and lists the advanced aspects of the foreign independent director system.The fourth part puts forward suggestions for improving the legislative level of the independent director system,the election and resignation of the independent director,the rights and obligations of the independent director,the responsibilities and remuneration of the independent director.The legal system is the foundation of the construction of the rule of law.Only the legal system that conforms to the situation of our country can contribute to the construction of the rule of law.The independent director system can solve the problem of governance of domestic listed companies only by improving constantly and adapting to our national conditions.
