| Talent is the decisive factor and the first resource for the development of science and technology enterprises.However,in practice,the innovation ability of China’s science and technology enterprises is weak.There are serious disconnection between technological innovation and market demand,low enthusiasm for R&D investment,lack of development momentum and motivation for some enterprises,and weak core competitiveness of enterprises.In the final analysis,these problems are caused by the failure to form an innovation-oriented enterprise development concept,the failure to form an employee team supported by innovative talents,and the failure to form an interest mechanism to effectively stimulate the enthusiasm and creativity of technical backbones.Equity incentive,as a long-term incentive means,can promote the transformation of scientific and technological achievements and innovation-driven development strategy.Science and technology enterprises,science and technology talents is an important part of creating the innovation,but most modern enterprise ownership and management rights in separation,the generation of this relationship can make the management to achieve their own interests to make business decisions,thus damaging the interests of the enterprises of science and technology talents,produce so-called agency cost.Equity incentive is just a way to solve this kind of agency problem.This paper first analyzes the current situation of equity incentive of domestic listed companies,and expounds the background of relevant laws and regulations about equity incentive policy in China.Secondly,it makes a horizontal comparison of the key contents of the fourth equity incentive plan of F listed company and evaluates the effect.The research of relevant scholars shows that the application effect of equity incentive is influenced by six dimensions of incentive mode,share source,grant condition,grant proportion,incentive object and incentive period.Therefore,this paper analyzes and evaluates the four equity incentive plans of F Company from the dimensions of these six factors.Finally,based on the current situation of equity incentive in the communication industry,reasonable suggestions are put forward for the implementation of equity incentive plan for enterprises in the same industry,and feasible suggestions are put forward for relevant departments to further optimize the development environment of state-owned enterprises in combination with the current background of laws and regulations.This paper studies F company’s four-term equity incentive plan and its application effect and draws the following conclusions: When F company implements the equity incentive plan,there are problems such as limited coverage,insufficient incentive strength and limited incentive methods.These problems are caused by the lack of consideration in the design of the equity incentive plan of F Company,as well as the objective factors that are subject to many restrictions as a state-owned enterprise.This paper puts forward the following suggestions for the listed companies in the communication industry: Reasonable incentive mode should be selected in the design process of equity incentive scheme,and the rationality of scheme design should be promoted by improving the internal supervision mechanism.For the relevant departments,the policies around equity incentives can be further subdivided into industries,conform to the characteristics and laws of the industry itself,strengthen the improvement of supporting measures,and create a more dynamic external environment for enterprises. |
