This paper mainly discusses concealment and appearance law of the using of "de" in Modern Chinese and corresponding reasons. The discussion of the concealment and appearance law of "de" and the corresponding reasons are based on the syntax, semantics and pragmatics which are three aspects of grammar. Meanwhile, which keep to the principles of combining of meaning and form, static and dynamic, structure and function, describing and explaining.This paper comprehensively discusses the concealment and appearance law of "de" in Modern Chinese form three aspects which are concealment of "de", appearance of "de", concealment or appearance of "de", and also discusses the corresponding reasons, which believes the adverbial is description or restriction in semantics is the reason of concealment and appearance of "de "----when the adverbial is only restriction but description, the "de" does not appear; when the adverbial has description, the "de'" can appear. The need of structure in syntax makes "de" as the mark of description have to appear. The prominence in pragmatics makes "'de" concealment or appearance.
