The main purpose of this study is to reveal how the company can beharmonious with society in the culture from the angle of economic law. Themain line of research is the link between culture and its circumstances from theactivity of thinking and rational analysis, in order to understand the character ofculture. This paper believes if China wants to catch up with developed countries,it should establish its own company's culture based on its national conditions,cultural values and ideals. "Company Law" in 1993 reflects the lower level ofthe companies and social harmony under the force of the state. However,"Company Law" in 2006 highlights the situation in harmony and commonprosperity of company and society under appropriate intervention of the state.Specifically, the paper includes the following three parts.The first part is the corporate culture in general. Emotionally, the culture isa spiritual activity, which has close relation to environment of people and is ameans to survival. Rationally, the culture includes three levels, namely, the valueof the ideological level, people's living habits and attitudes and thematerialization of cultural products. In comparison cultural characteristics,traditional Chinese culture respects the unity of man and nature with the focus oncollectivism and humanistic spirit. Western culture argues that people aresuperior and individualism, scientific and rational spirit is the basic tone ofmainstream of Western culture. It is through the profound revelation of culturalcontents and characteristics, culture is defined as values, code of conduct andethical standards binding on the members of the company accepted by thecommunity. In analyzing corporate culture characteristics, in the view of culturalheritage and economic and trade globalization, the culture with Chinesecharacteristics lies in the economic model, developing country, Confucianculture with Chinese characteristics and the nature of our society.The second part of the paper discusses that corporate govemance is the coreissue of company. After analyzing the relationship between corporate culture andmanagement, the paper points out the reconstruction of corporate culture withChinese characteristics by comparison with major western countries' culture. There exists inner links between corporate govemance and corporate culture.The formal system of corporate govemance is only compatible with the existingculture can play an effective role. Corporate culture determines China's corporategovernance model, in a sense, even law regime. By comparison of Westernculture and the specific mode of governance, the model of corporate governancein Britain and the United States corresponds to the external monitor with the coreof the scientific spirit and individualism. Japan's internal control-managementmodel is suitable to the humanistic spirit and collective cultural values.Based on this, the paper studies in-depth the corporate culture and model ofcorporate governance set state-owned company as an example. The companiesof Japan and China share similar corporate culture and corporate govemancemodel.The third part deems that the modern company law deeply reflects the innerrequirement of harmonious development of culture and society. Company notonly pursues the maximums of profit but also undertakes some socialresponsibility. Company attends to economic interest in short term and the goalof social harmonious development in long term. The article focused on thepursuit of new legislation of "company Law". The paper believes that New"Company Law" relaxes controls, strengthen the company's autonomy, enhancethe corporate governance of the scientific and rational spirit, and ensure that theinterest of balance, thus demonstrating the harmony and common prosperity ofcompany and development of the society.
