The company is a major component of the economic strength of the market, it is connected to the capital of investors and the talent ofmanagers, and makes the social resources cage poly. As being the creators, dividers, and transportors of the social wealth, under the modern enterprise system, the companies take the responsiblity for a growing number of mission and duties. In the circumtance that separation of ownership and management, how to protect the investment of the investors, also ensures that managers manage the affairs of the company efficiently and flexibly, while the company afford the corresponding social responsibilities, which has put a difficult subject to the world’s business community and the legal community.I concerned about the company’s governance structure, and particularly concerned about the structure of the internal oversight mechanisms, which is the first security barrier in the company running. It is a best way to guard against the risk effect of institutions.But in reality, the role of this mechanism is often useless. The external supervision is in highly cost, and the timeliness of it is bad. Therefore, in the point of view inspired from the business school professor, I intent to explore the internal supervision for the implementation in an effective way from an external angle, try to combine the two suoervisions, and then make the running of the company in the proper supervision.Such the supervision should,of course, not affect the normal business, let the commercial activities flexible, efficient, convenient to carry out.Full text of simple ideas, except the introduction and the epilogue, it can be divided into three parts of four chapters:The first part is the first chapter, it is the plight of the internal supervision and internal supervision of the brief. It mainly talk about the causes of the internal supervision,and the principal-agent theory, it also talk about the advantages and the disadvantages of the internal supervision in the practice.The second part contains the second and the third chapter. In this part, we discuss the theory of internal supervision externalize and the basic ideas. In the second chapter, we try to set up the basis of the theory from two parts, the reality and the law. In the third chapter, we will give two ways of externalizing the internal supervision in two ways, the human and the process. The third part, the fourth chapter, is a detail describtion of the improvement about the internal supervision of several possible ways, according the company’s existing supervision and the Chinese company’s actual views, for improving Chinese internal supervision. In this chapter, we will combine the excellent experience of foreign countries, such as the independent directors of the United States and the Germany’s Workers’Federation, combing with Chinese actual situation, we plan to devise several improvements for the supervision programs.
