One of the key issues that our jurists are facing in 21st centry is the institution of company management law. When operators are controlling the actually running of a company, how to establish an effective mechanism of supervision and balance to restrict and control the operators on a premise of efficiency priority is becoming a primary task of company law.Supervision mechanism can be classified into internal and external ones in the main, while different kinds of inernal supervision are primary ones in the legal sense. In this paper, the author did a comparative analysis on the system modification of board of supervisors and independent director which happened in both Chinese and Janpanes corporates in the past few years. Furthermore, the aurthor discussed how to further optimize the internal supervision mechanism in Chinese corporates by taking experience from Japanese as reference. This paper inspected several basic theoretical questions in the first place, then comparatively analyzed the different historical evolutions and specific modes between Chinese and Japanese corporates. A thought of how to optimize supervision mechanism in Chinese corporate is put forward based on this, hoping to find out a better system which is suitable for the current Chinese corporates.
