Shen Dao is a representative of the pre Qin philosophers. Studying on Shen Dao has the vital significance on our in-depth study of the academic history, the history of thought, "Tao and Law" of Ji Xia in Qi in the Warring States Period, and even the Han Fei Legalists Thought. This thesis mainly studies on the academics and thoughts of Shen Dao who once was a scholar in Ji Xia, illuminating his important position in the history of thoughts in pre Qin period. Our study method is that studying on the thoughts of Shen Dao on the base of our research on the history and bibliography of Shen Dao and the early history of academic. The mainly content includes three parts: Chapter1 studies on the activities of Shen Dao, the problems of bibliography of “Shen-tzu” and other early literatures relate to Shen Tao. Chapter2 in the view of the early academic history analyzes the academic characteristics and the school property of Shen-tzu. Chapter3 graspers the logic thought of Shen Dao, through the analysis of main concepts, around the “Tao and Law”. Last, in the theme of “Tao and De” and “Law and Status”, we make a conclusion on the thought history that Shen Dao has an important influence on the changes from the theory of Huang Lao “Tao and De” to Han Fei’ s Legalism.
