| Since the new medical reform,the state has issued a series of policy documents to encourage establishing diversified medical institutions,in order to meet the diverse needs of the people and health.Some experts predict social capital will vigorously invest new hospital in the future 5 to 10 years.If social capital takes part in the medical and health fields in the form of mergers and acquisitions,on the one hand.it can reduce the upfront costs,achieving the rapid expansion of capital,on the other hand,it can use the advantage of the original hospital such as the stability of the patient to quickly improve competitiveness.However,because of our country’s medical and health policy environment and lack of experience,in the case of the social capital investment in hospital before,most of the social capital lost or quitted.Based on analysis about the present situation of the hospital mergers and acquisitions at home and abroad,this paper firstly introduces some basic theory of mergers and acquisitions and the new theory,the common types of classification of mergers and acquisitions and risk assessment method,the advantages and disadvantages of different types of risk assessment methods,the definition of social capital,common pattern of social capital investment in the hospital and The difference between non-profit hospitals and for-profit hospitals.On the basis of this,the article analyzes the reason why social capital actively involved in mergers and acquisitions of the hospital from three aspects,such as the political and social environment,the nature of the social capital profit and the problems in the development of the hospital.Then the paper lists risk factors when social capital merges hospital from four aspects,such as present situation of hospital,merger and acquisition environment,merger and acquisition technology and merger integration.Present situation of hospital risk is divided into hospital operation nature risk and management ability risk,Mergers and acquisitions environmental risk is divided into regions selection risk,health policy risk,law risk.Merger and acquisition technology risk is divided into pricing negotiations risk,financing risk and payment risk.Merger integration risk is to divided into management integration risk,culture integration risk,operation integration risk and human resource integration risk.Based on the case of fosun pharma planning to merge G hospital,this chapter constructs the risk assessment model and introduces analytic hierarchy process(AHP)and fuzzy comprehensive evaluation method to assess risk index.In the last,it puts forward the corresponding measures of risk prevention,such as to analyze policy and estimate the policy risk,distinguishing between for-profit hospitals and non-profit hospital and to correctly locate future development,to do due diligence in order to comprehensive understand the target hospital,to determine the appropriate financing on the basis of reasonable valuation,positive communication and to properly arrange the original unit worker,to optimize the management and integrate culture step by step.In addition,paper gives an example about fosun pharma successfully merged Chan Cheng hospital to provide a reference. |
