Based on the problems encountered in the compliance risk management practice of urban gas M & A projects,this paper reveals the many compliance risks that may be faced in the M & A activities of urban gas projects,and the decisive influence that these compliance risks may have on the realization of the strategic objectives of M & A.And through to the Queensland gas company in the internal control and risk management,legal risk prevention and control,compliance management and investment merger management system and mechanism of the current management system such as comb,analysis of different professional management function the role of city gas m&a project management process,concluded in Queensland gas company in the city gas project decision-making,implementation and integration of different stages,such as the key link of compliance risk management problems.The main management problems existing in the decision-making stage of urban gas merger and acquisition project are that there is no comprehensive assessment of the compliance risk of investment merger and acquisition project and the due diligence is not comprehensive and in-depth;In the implementation stage of urban gas merger and acquisition project,the main management problems are that there is no dynamic tracking and evaluation of compliance risks and there is no response plan for major compliance risks.However,after the completion and delivery of the urban gas merger and acquisition project enters the integration stage,the main management problems exist,including the failure to set a compliance risk control organization at the corporate governance level,and the failure to integrate compliance risk management with the internal control system of the enterprise,etc.Since compliance risk management is an emerging field,no mature analysis can be used for reference.This article from the origin and evolution of combing enterprise risk management,clarifying the compliance and risk management,internal control and corporate governance,on the basis of the relationship between,from the perspective of overall corporate risk management,using the system thinking method to the theoretical basis and analysis framework,and combining with the actual,the gas company in kunming city gas projects,compliance risk management process are deeply analysised the cause of the problem.It is believed that the root cause of the problem is that the risk management of Zhongkungfu Natural Gas Company is still in the stage of traditional risk management on the whole,and the overall risk management and compliance management system are established under the leadership of administrative forces.The position of compliance management is still not clear and has not been included in the corporate governance structure.There are still misunderstandings in the understanding of compliance management and total risk management,and "comprehensive" is simply understood as "all staff" and "the whole process",without really realizing that "integration" is the key.This paper believes that to solve the various problems existing in the compliance risk management of the merger and acquisition project of Zhongkunming Natural Gas Company,it is necessary to build a compliance risk management system with comprehensive identification,dynamic assessment and systematic response,and integrate compliance risk management into the whole life cycle of the project management of urban gas merger and acquisition.To achieve this goal,it is necessary to make full use of internal and external resources,especially human resources,under the guidance of the concept of integrated risk management,and on the basis of the existing management system,to construct a compliance risk management system and mechanism in line with the requirements of integrated risk management objectives.Integrate compliance risk management requirements into daily management functions and procedures,establish a set of system,build a team,straighten out a set of procedures,reasonably division of labor,strengthen collaboration,and fully release scale effect.Specific measures include the implementation of special compliance risk assessment for investment and merger projects,the establishment of dynamic compliance risk assessment and early warning system,the formulation of special response strategies and implementation plans for major compliance risks,and the implementation of compliance risk management for investment and merger projects throughout the life cycle.
