Research On The Risk Of Vcanbio Merging Shanghai Aoyuan Through Buyout Fund

Industrial upgrading and structural adjustment are important ways for the sustainable and stable development of the economy.With the highly integrated resources,various financial instruments have been continuously innovated to meet the needs of the capital market.Buyout Fund develops rapidly in the economic background of industrial upgrading and structural adjustment,but it also faces huge risks to realize M&A based on this highly leveraged approach.Through the risk analysis of Vcanbio merging Shanghai Aoyuan,this thesis hopes to standardize the investment behavior of enterprises and reduce their operational risks,which is of practical significance to investors,enterprises and the financial market.Firstly,the thesis briefly summarizes the theoretical basis involved in this research,and then carries out the whole research analysis.It introduces the basic situation of two main roles involved in this research,namely Vcanbio and Shanghai Aoyuan,and analyzes the specific process and main motivation of this M&A activity.Subsequently,risk analysis was carried out on this M&A activity.Since the M&A activity mainly focused on the operation of buyout funds,this thesis mainly analyzes the specific risks in the M&A process from two aspects,namely the risk analysis based on the overall level and the risk analysis based on each process level.Then this thesis analyzes the specific reasons for the risks in the process of M&A using buyout funds,and mainly studies the deficiencies of listed companies from three aspects: risk identification,risk assessment and risk response.Finally,this thesis gives some suggestions on risk prevention of M&A using buyout funds from two aspects: the overall level and the process level.This kind of risk research and corresponding suggestions can provide certain ideas for the M&A of enterprises and the formulation of government policies,which not only provides reference for the enterprises that use this kind of M&A method later,but also for the relevant regulatory departments to formulate and improve the regulatory system.
