In August 2016,China promulgated the policy——“Opinions on the Pilot Program of Employee Stock Ownership in State-controlled Mixed Ownership Enterprises".This is a positive implementation of state-owned enterprise reform and development of mixed-ownership economy in the new period since the Third Plenary Session of the 18 th Central Committee.The important content of the ownership reform is an exploration of the path to the reform of state-owned enterprises.As a method of mixed ownership reform,the employee stock ownership plan is not only an optimization of the company’s equity structure,a corporate governance mechanism,but also a long-term incentive model.It has the effect of stabilizing the workforce,stimulating work enthusiasm and innovation ability.At present,the employee stock ownership plan is widely adopted and implemented in listed companies in my country.However,the implementation of employee stock ownership in non-listed companies,especially state-controlled mixed-ownership companies,is still in the pilot stage and has not yet formed a mature and universally applicable plan.There are few empirical researches related to sexuality.Based on the above situation,this article adopts the method of case study,according to the relevant regulations and requirements of the State-owned Assets Supervision and Administration Commission for state-owned mixed-ownership enterprises to carry out the employee stock ownership plan,a case study of the CSC company’s proposed employee stock ownership plan,first from the company profile and implementation motivation Analyzed and explained the background of CSC’s implementation of the employee stock ownership plan and designed its implementation plan for the employee stock ownership plan based on it.Then,starting from the questionnaire survey of employee stock ownership,it analyzed the issues that need to be paid attention to and resolved in the implementation of the employee stock ownership plan.,And finally came to conclusions and suggestions.The implementation of employee stock ownership plans in state-controlled mixed-ownership enterprises must correctly guide employee expectations,formulate a reasonable and complete equity distribution incentive system,set up special departments and teams,formulate a reasonable and effective exit mechanism,and strengthen information Disclosure and earnestly promote employee shareholding and participation in corporate governance.The research in this thesis provides case references and experience for non-listed state-controlled mixed-ownership enterprises to implement employee stock ownership plans,and helps other state-controlled mixed-ownership enterprises to formulate more scientific and stimulating employee stock ownership plans.
