Neo-Conf ucianism has expanded the spirit of Confucianism by exploring cosmos' noumenon and pursuing ideal state. There-fore, the purpose of this paper is to show the spirit of Neo-Con-fucianism mainly through investigatting the relationship between noumenon and ideal state. Neo-Confucianism believed that noumenon (Ben Ti)~①is being. Therefore, Neo-Confucian noumenon (Ben Ti) differs from substance in western philosophy. However, Neo-Confucian noumenon (Ben Ti) is still the ulti-mate grounds of cosmos and is of significance to value source. In fact, since Neo-Confucian believed that noumenon (Ben Ti) is being and being connects human being, there have been some on-tological theses: Xing is Cheng, ~②Xing is Dao, ~③Xing is Li, ~④Xin is Li. ~⑤According to these theses, ideal state is that man is aware of being and understands being. Exploring being and promoting mental state are the same thing. This paper is divided into four, section 1 discusses the mean-ing of noumenon (Ben Ti) and ideal state, and explores the innate relationship between them. In Section 2, the development of Neo-Confucianism is discussed and each Neo-Confucian philosophy is analyzed. In section 3, the ideal state of Neo-Confucian is ex-pounded and the method of promoting mental state has been ex-plored. Section 4 discloses Neo-Confucianism's contradiction in knowledge and value. The author does not agree with that the fundamental reason of the existence of man is moral ideal. Ac-cording to Practical Materalism, the author believes that basis of human being is practice. Man is always between ideal and reality. The author also admites that Neo-Confucianism is an important theoretical source in building up the value idea of contemporary man.
