Corporate Legal System Of Macau Is A Comparative Study

This dissertation utilites comparative study methods, the study mainly focuses on the New Macau Company Laws of some of the major nations of the world.the dissertation is divided into 6 chapters.Chapter 1 the development of the company law of Macau. The analysist of this chapter comes from the history of the Macau legal system, and seperates the Macau legal system into 2 major periods: The Chinese rule period and Portugese occupation period. The study will look at the company law developments of these 2 periods.Chapter 2 company law types. There are 4 types of companies according to the Macau legal system: unlimited company, limited company, limited partnership, companies limited by shares. this chapter will conduct a study on the basic theories on the 4 types company structures.Chapter 3 study on the company set up system. This chapter will focus on the basic problems of company set up system. including company set up theory, the legal substance of the behaviour of set up, the legal problem of company set up, methods and conditions for company set up, the incorporators legal position and legal responsibility, company set up registration etc. This chapter will comparatively analyse the above legal regulation with the related regulations from the company law of various nations.Chapter 4 company organization structure.This chapter will look into the corporate organ: Shareholders Meeting, Board of Directors, Supervisory Board and Company Secretary authority, duty and responsibility as well as conducting a study based on the new additions on company secretary regulations of the United States and the United Kingdom.Chapter 5 study on single person companies. The new Macau Company Law allows for the setting up of single person companies. This chapter will mainly focus on the problems involving formation and development of single person companies. the legal positions of single person companies in various countries and the effects of single person companies to the traditional company theory etc.Chapter 6 the legal problems involving the new Macau company law . In this chapter 1 will attempt to pose several problems with the new company law and propose ideas for amendment.
