This dissertation is meant to focus on the study of familism in Chinese business enterprises.The author applies the theories of firm of new institutional economics as my analytical tool and its fundamental assumption. On the basis of the assumption, the author uses Chinese relationship rules as restraints. In the paper, the author attempts to analyse the organic mode of Chinese enterprises from three aspects. The first aspect deals with property rights arrangement and governance structure between stockholders and managerial staff. The second aspect discusses the governance structure of interior organization of enterprises. And the third concentrates on the managerial structure and the principles of enterprises. The author thinks that Chinese enterprises have its own characteristics of organic mode due to the different social and cultural factors of economic actors between the Western society and the Chinese society. If we regard enterprises as the creature of the agreement on "Responsibility, Right and Interests" among the investors, the contract is subjected to " Relationship" in Chinese enterprises. The "relationship" is a vertical net with the core of controlling governors. The efficient cooperation of enterprises depends on paternalism authority of the controlling governors over other investors. In Western society, the management and governance of enterprises are subjected to binding contracts and market power. However, the binding contracts and market power only play an auxiliary role, even a little role in some aspects in Chinese enterprises.The familism organic mode of Chinese enterprises is proved to be internationally competitive through the practices in Hong Kong and Taiwan. Under the mode, enterprises can adapt themselves to the challenges of new market environment through the reforms according to its typical logic.
