The thesis discusses two topics: the causes and effects of the M & A (Merger & Acquisition) climax among American corporations in 1990s, and the corporate competitive changes resulted in. The first chapter defines the meanings and mutual relations of merger, consolidation, acquisition and M & A, then analyzes the five motives of M & A and comments the eight aspects of the theories on M & A. The following chapter reviews the five M & A climax in American history, briefly describes the anterior four climax and their characteristics and especially expatiates on the fifth climax and its traits. Then the author depicts the M & A in American banking in 1990s and analyzes the effects. The third chapter expatiates on the international background of the M & A climax in 1990s from the aspects of economic globalization and international competition. In the fourth chapter, the author analyzes the micro-causes of the American corporate M & A in 1990s from the aspects of transforming in the operation and management field, core competence and technological innovation. The fifth chapter explains the home environment of American corporate M & A in 1990s, including the juristic environment and stock market environment. The sixth chapter analyzes the competing effects of American corporate M & A in 1990s from different angles of micro-effect (corporate competence), meso-effect (industrial competence), macro-effect (international competence) and international effects (international status). The seventh chapter explains natural monopoly, behavioral monopoly and legal monopoly, and introduces the development trend of modern anti-trust law and the vicissitude of American anti-trust law, and then analyzes American anti-trust practice. The last chapter researches into the revelation for China from the promotion of the M & A among American corporations. The author proposes some advice on governmental policies to promote the M & A among Chinese corporations to cultivate major companies and major groups so that the goal of Chinese renaissance can be achieved.
