The theme of this paper is to construct a legal direct financing system for the Small and Medium-sized Enterprises (SMEs). In this paper, I also made some research about the widening of the direct financing channels for SMEs. The thesis is composed of three parts: the preface, the text and the conclusion. The text is consisted by five chapters, approximately 130,000 words.The preface is mainly about the soul purpose of my choosing this topic. The composing procedure, the research data sources, the studying method and the acknowledgements are also included in this part.The first chapter of the text is the summary. The intention of this chapter is to state the related conceptions and emphasize the value of my research. This chapter is consisted of three sections. The first section is about the legal conception of SMEs. Based on the observation and study about the legal conceptions of SMEs in the major countries and districts implementing market economy (including China), the author brought forward the conception of SMEs. Based on this conception the SMEs were clearly differentiated from Town-ship & Village Enterprises and private enterprises. The second section includes two main points. The first point is the summarization of SMEs' financing. The conception, the nature, the channels and methods, and the relations between SMEs' developing stages and the corresponding financing ways are fully discussed in this part. The second point is the legal financing system of SMEs. In this part the author presents the reasons why there should be a legal financing system for SMEs'. That is, why the SMEs cannot finance themselves in the same system with the big corporations and why those special rules must be designed for SMEs. Afterwards the author summarizes the actuality of Chinese SMEs' financing and the relating legislations. The third section is on the direct financing status and the relating legislations. This section is consisted of four parts. The first part expatiates the methods of direct financing and also the functions and limitations of these methods. The second part is about the significances of the direct financing methods to the SMEs. The third part is about the necessity of developing the direct financing system for the Chinese SMEs. The fourth part is about the legislations on the direct financing of SMEs. Based on the outlines of the worldwide legislations status in the direct financing field, the author stresses the importance of the investigating and constructing of the legal direct financing system for the SMEs in China.Form the second chapter to the fifth chapter is the core of the thesis. From the view of the law, the author defines and analyses various channels and methods on the direct financing of SMEs, and advances her own suggestions on legislations.The second chapter focuses on the legal system of venture capital (VC). This chapter is consisted of three sections. The first section is titled with VC and SMEs' financing, which states the conception of VC, the relations between VC and SMEs' financing and what has been done to regulate and accelerate the development of VC by the method of legislation in other countries. The second section is about the form of venture capital Fund. After analyzing the reasons of why a large amount of venture capital funds are in the form of the limited partnership, the author detects that it is necessary for the venture capital funds in our country to adopt the limited partnership form. Our lawmaking impediments inthis field and their solutions are also listed. The third section is about the researches on the legal helping system to accelerate the development of VC. Although VC is not a government behavior, its development largely depends on various inducing, helping and backing economic policies enacted by the government. The author presents her suggestions on which kinds of laws and regulations should be enacted by the legislatures to develop the VC system.
