Cross-border M&A has become a world trend and the major foreign direct investment means of transnational corporation in the process of economic globalization. Since 1990's, foreign capital's entering China by merger and acquisition has been an important trend of FDI in China, which inevitably made positive or negative influence on our economy. The thesis systematically analyzes the motivation and effect of cross-border M&A, discusses the theoretical basis and policies of regulations, and compares experiences of regulations in different counties. Considering the Chinese practical experience, some policies of regulations have been suggested on the basis of the relative positive analysis. The whole paper consists of nine chapters. The following is the main content of each one.Chapter 1 explains the concept and definition of cross-border M&A, introduces its international background and describes its evolving trend.Chapter 2 fully analyzes the incentive behind the global cross-border M&A wave in the 1990s century in the perspective of economy.Cross-border M&A will influence both enterprises themselves and every country's economy and even the integrated world economy. Chapter 3 is on the effect evaluation.Chapter 4 generalizes the theory of regulation on cross-border M&A, especially the latest ideas in the condition of economic globalization. Based on it, this chapter constructs regulation framework on cross-border M&A.Chapter 5 introduce the methods of regulation on cross-border M&A in different countries, such as the US, Canada, Hungary and Korea.On the basis of the theoretical and positive study, Chapter 6 overviews different stage of foreign investors' merger and acquisition (FIMA), analyzes its characteristics, and forecasts the developing trend of foreign capital merger and acquisition in China.Chapter 7 attempts to reveal the true motives behind the substantial FIMA activities in different perspectives, evaluate the positive or negative effects of FIMA in China.Chapter 8 reviews Chinese practice on regulating FIMA, and points out the problems that occurred.Chapter 9 sets the goals and principles of regulating FIMA, offers the choices of strategies and suggestions on the policies in government regulation under the particular background, discusses related questions in the practice of FIMA in China.
