The paper aims to study the problem of towards income-distribution based on contribution of human capital which belongs to the category of human capital income-distribution theory.The paper is based on the theories of human capital economic growing theory and human capital property-rights theory. To follow the common research law, it firstly introduces the developing course of the income-distribution theory, and then uses the principal of the two theories to prove the certainty and necessity for human capital to participate income-distribution of the enterprise. Besides, it holds that the prerequisite for the participation of human capital in income-distribution is the change of property-right structure from multiple unit to diversification . On the basis of the viewpoint, the paper puts forward the following model of multiple-levels dynamic income-distribution of enterprise. And through the classification of human capital and distinction of the human capital value into dominant value and recessive value, the paper puts forward corresponding choice to various human capital in various circle and enterprises, and builds a model of human capital contribution to enterprise residual gain, which acts as the basis of human capital participating in enterprise' s income-distribution.In light of the contribution rate of human capital, the amount of human capital participating in income-distribution is only that in group sense. In order to distribute the group amount into concrete individual , the paper uses the traditional position analysis method and performance appraise method to calculate individual value of human capital, and puts forward some feasible measures for income-distribution.
