At the beginning of 2004, the reform of state-run commercial bankshas stepped into a new stage with substantive progress. The State Councildetermines to implement joint-stock system transformation of Bank ofChina and China Construction Bank, and especially emphasizes that thecore of joint-stock system transformation is to turn banks into realcommercial banks. As far as the author is concerned, "real commercialbank" means to establish and perfect the property rights structure andcorporate governance of banks. In early 1990s, the countries in Central and Eastern Europe (CEE)had already reformed the property rights structure of banks. After nearly20 years' development, the countries in CEE have already set upcompetitive, open, stable bank system, basing on pluralistic propertyrights structure. China and CEE countries are in transition economy,which can be compared at some respects of bank reform. Therefore,studying relative problems of the practices of property rights reform ofbanks in CEE will be meaningful for the joint-stock systemtransformation of our countries. Property rights reform is only a kind of means adopted in bankreform of CEE. The final purpose is to improve the managementperformance of banks, establish healthy system of banks, and furtherpromote the development of finance and economy through changingproperty rights structure. From the practices of bank reform of CEE, whatmeasures are taken in bank reform by CEE countries? Does the propertyrights reform effectively change the former single property rightsstructure? Has the economic performance of banks been improved owingto property rights reform? What is the relation between property rightsand bank efficiency? What revelations can property rights reform of CEEbring for the joint-stock system transformation of banks in China? The answers to above-mentioned problems form the research train ofthoughts in this dissertation. As far as analytical methods are concerned,the dissertation has adopted the standard analytical method combinedwith the demonstrative analytical method, and has further studied theproperty rights reform of banks in CEE. Generally speaking, thedissertation is divided into three parts. The first part is chapter two,making economics explanation for the property rights reform of banks inCEE from the theoretical angle. The second part includes chapter three,four, five and six. On the basis of analyzing the property rights reform ofbanks in CEE, the dissertation investigates the difficulties and problemswhich appear in the course of the property rights reform of banks in CEE,appraises the solving measures, and studies the economic performance ofbanks by demonstrative method. The third part is chapter seven. On thebasis of using the practice and experience of property rights reform ofbanks in CEE for reference, the author puts forward the views on how toadvance the joint-stock system transformation of banks in China at thepresent stage, which is the research purpose of this dissertation. Specifically speaking, the main content of each chapter is as follows. Chapter one is introduction. This chapter mainly explains thebackgrounds and meanings of the subject of dissertation, introduces thelogical structure and research approaches of the dissertation, summarizesthe main viewpoints, and objectively evaluates the innovations andbreak-through of this dissertation, points out the studying difficulties,deficiency and problems remained to probe into further, defines mainconcepts and research scope involved in this dissertation. Chapter two is the economics analysis of property rights reform ofbanks in CEE. This chapter forms the theoretical foundation of thisdissertation. From the angles of property rights, transaction costs,principal-agent, residual rights of control, corporate governance, systemof property rights and growth of economy, the chapter combscomprehensively and systematically for the theoretical foundation, themodern property rights theory.
