Research Governance Model Based On Property Rights Theory Of The State-owned Commercial Banks

In future, the state-owned banks will be come into the market early or late, there from, the state-owned banks' reform of stock has beginning. But, the stock systems of state-owned bank not ensure that it will make excellent achievement. If the state-owned banks want to win the competition in newly international finance circumstance, The most important things it must be do are established the effective corporate governance structure and modern corporate system. This structure and system must accord with the international standard. Then, the perfect modern corporate system and corporate governance system become the focus of bank reform.In this paper, we studied the corporate governance model from the angle of property rights structure. We mainly studied the follow question: the relationship between property rights and corporate, we studied and compared the character and governance performance of two kinds of western models, we review the disadvantage of property rights structure arrangement and bank corporate governance, we put up some suggestions about property rights structure arrangement and the choose of bank corporate governance model, and the question of what kinds of effective bank corporate governance structure we should build up, and so on.Firstly, we studied the relationship between the property rights structure and corporate governance, point out that the different property rights system and property rights structure will come into being different inspiriting mechanism, then it will decide the difference of corporate governance system performance. So, the improvement of corporate governance system will be limited by the improvement of property rights system and property rights structure. Then, we compared the character and performance of corporate governance in UK and USA that based on highly distracting property rights structure with corporate governance in Germany and Japan that based on relatively centralized property rights structure, we found that these two kinds of models adapt to the their property rights system. So, we should not blindly duplicate corporate governance model in UK and corporate governance model in Germany and Japan, the corporate governance model of state-owned banks should based on our country's property rights system and property rights structure. Then we analyzed the followquestion: the evolution of state-owned banks' arrangement of property rights structure, the problem of state-owned banks' governance, the value -tropism of state-owned banks' arrangement of property rights structure. And then, we set forth suggestions that what kind of state-owned banks' arrangement of property rights structure and governance model should be chosen. Finally, we put up some suggestions on how to build up a perfect banks' corporate governance structure, these suggestions include the follow aspect: the diversification reform of property rights, build up an effective bank' corporate governance structure, renew the organize frame, perfect the inspiriting mechanism and supervise mechanism, perfect some co-relational measure.
