Both corporation and trust are vital economical and social institutions originated in the neoteric society in west world. Generally, they are regarded as two distinct legal concepts far from each other. Also, in spite that the corporate has being accepted around the globe out of the affection of the Capitalism, another important institution, the trust, is still treated trivial in our civil law countries. The real task of this dissertation is to uncover the relationships hidden behind the two legal institutions. Via this dissertation, I will try to prove that a return from corporate to trust is definitely there.To achieve that object, this dissertation is divided into three parts, which includes five chapters, except the introduction and epilogue. In fact, all research in this dissertation followed the chronological order, viz. the convergence and separation of the two legal institutions in history and the possibility of their convergence in future.Introduction is the beginning of this dissertation. In this part, we just exhibit a brief summary about the background, the value of this topic, the structure of this dissertation, and some explanations for the deficiencies exists in it. As I see that, the value of this research is that the achievement can provide some suggestions for our forthcoming reform in state-owned enterprises. Undoubtedly, our state-owned enterprises must choose one model as their structure. To formed as a corporate or to established as a trust is one important question we must make a choice.Then, there is the first part of this dissertation, which is composed with two chapters. Main object of the first part is to illustrate the separation of corporate and trust.Chapter One named as 'Equitable Background and the Opinion about Trust'. So, this chapter developed in two trends. First, we gave some introductions about the equitable background which trust originated in. Equity is a legal system only exists in Anglo-American law. And, trust is a fruit of equity obviously.
