When addressing the socialist society, Marx did not think it was a relatively complete independent social pattern, but only an intermediate stage of social transition between modern capitalism and communism. Under the leadership of the proletariat, changing and developing the capitalist mode of production and the superstructure, and taking achieving all mankind "three significant"(a rapid development of the productive forces, a significant emergence of social goods, greatly improved social and spiritual standards of the members) and eventually eliminating the "three different" (differences between industry and agriculture, between urban and rural, between physical and brain)-These are the precise characteristics of socialism. With these characteristics, the Chinese characteristics socialism is in this transitional phase. After 30 years of Reform and Opening up, we have built a government-led market economy, in which the state social function is essential. Yet the growth exists with the survival of problems and the development intertwined with confliction, "to take economic construction as the central task", then how to understand the relationship between the government and the market? Adhere to "the stability overrides everything", then how to sort out the link between the interests of coordination mechanisms and a harmonious society? When the political and economic situations have major changes in this "transitional phase", whether need to define the government's own virtuous governance capacity? In recent years, government-led franchise model(BOT) is a typical carrier of these complex relationships. Therefore the micro-perspective research and analysis of these issues in BOT cases may be able to get some inspiration. The purpose of state intervention in capital formation, is not only a simple process of industrialization and accelerated development, but constructing a more competitive efficient market and taking use of capital, transforming capital and even eradicating capital, promoting capital formation, and promoting capital socialization, guiding the capital's macro-structure, guiding capital's Matthews effect and guiding virtual level of capital in order to achieve the communist society in a peaceful transition. From the point of view of state economic management functions and BOT's effective competitive market, this paper analyzes the BOT projects in the power plant in Guangxi Laibin, in the Taiwan's mass rapid transit system and in the Sichuan Tuojiang Bridge. Analysts believe that to achieve the "two promotion and three-guidance", the Government, first as the superstructure, should be through the development of appropriate policies and regulations to regulate the proportion of social reproduction in local and macro-ratio in order to promote the optimal allocation of social resources. At the same time, state-owned Capital, as an important component of the economic base, should be actively shared the market risk of the quite strong public-nature commodity, to effectively guide and adjust the proportion of social reproduction and guide the direction of private capital investment. Finally, the government should also regulate the national credit to reduce the cost of market information, to guide the self-regulation of private capital.During the transition phase, the socialist state, as an overall capitalist, has taken the making use of capital, eliminating of capital, creating wealth for people as its essential character. Particularly in the stage of building a harmonious society, increasingly evident confliction of interests antagonistic cause building the interests of the coordination mechanism to become particularly important. From the point of view of state social coordination functions and BOT's interest of the coordination mechanisms, this paper has analyzed the BOT projects in the Sixth Waterworks of Chengdu. Analysts believe that to build stakeholder coordination mechanism, the government must make the expression of interests smooth, balance the interests and make the compensation of each interests reasonable. First, the government should build a positive and effective interest articulation mechanism, such as provide some truly free opportunities and places for exchanging of experiences and information in order to reduce the information asymmetry. Second, reshaping the game platforms of interests and developing intermediary organizations result to positive and effective monitoring and evaluation mechanisms. Finally, coordinating multiple interests and establishing a rational compensation mechanism of interests. Particularly, on a number of strong external projects, stakeholders should be given to the appropriate financial compensation.The state economic management function and social coordination functions all need the efficient execution of government. However, due to the old concept of administration, the mutual constraints during government agencies and departments, the lack of unified and consistent government policies, such as this phenomenon of government failure, the government's sound governance capacity has been weaken. Therefore, to build an effective competitive market and to build the coordination mechanism of interests, government's governance is very important. From the perspective of government's governance and efficient operation of BOT projects, this paper analyzed the BOT projects in the Shunde sewage treatment plant, Gao Antun medical waste treatment plant and Beijing the 10th waterworks. Analysts believe that to build a highly efficient government and to improve government governance capacity, government at all levels should adhere to the concept of innovation, the functions of innovation and regulatory innovation. At the same time the government should also clarify the relationship between the functions of various departments to improve coordinated efficiency between different departments and to reduce the transaction costs resulted from the evading responsibility. Lastly, government should reshape the legal system concept and make use of legal means to reinforce the seriousness, science and coherence of government planning.Regression theory analysis, we can see that from the point of the relationship between the government and the market, this paper contends that the market in the transitional phase can not do without government regulation. In accordance with the principles of the socialist market economy system, the market is still self-interest, blind, lagged behind. The nature of the relationship between government and the market is that under the public interest-oriented, government is filtering the spontaneous blindness or other negative factors in market mechanisms. It is in this sense, the government and the market is not a simple mutually exclusive. We do not should be the pursuit of small government-big market, and should not be too much emphasis on governmental power to exclude or suppress the market dynamism. The Government's enthusiasm was not to exclude the market or not the cost of the enthusiasm of the community. From the point of view of the relationship between the government and society, China's civil society, as a constructive factor, has maintain a kind of natural and intimate relationship with the State. The both have a certain logical compatibility. That is to say civil society is compatible with socialist state naturally, which is reflected in the possibility of the establishment of the interest coordination mechanism. The establishment of channels for expression of interest, the game platforms of interests, the compensatory mechanisms of interests, has become necessary, further more, which will form a strong buffer zone between state and society and mobilize the power of various groups to build a harmonious society. From the point of view of governance during the transition phase, we need to build the service-government. Serving the people wholeheartedly is the fundamental purpose of our party, but also the nature of our government. To build the socialism with Chinese characteristics, the traditional project management model has not suited to rapid economic and social development. Therefore, to accelerate the reform and transformation of government functions, to improve the government's ruling concept has become the must.
