Study On Behavior Of Stakeholders In Control Right Transferring Of China Listed Companes

The chief characteristic of our country list companies is that state-owned shareholders and legal shareholders place absolutely dominative position. It bring about owner vacancy,insider control,control right band mechanism weaken etc problem, possibly lead behavior of stakeholders distorted that heavily restricts the development of function of control market. For this reason, this paper will moves around the behaviors of stakeholders takes study. It firstly takes theory study to behaviors of stakeholders in controlling transferring, it studies the expropriation behavior of control shareholders, free rider behavior of circulating shareholders, resistance behavior of target manager in control benefits that can not compensatory and behavior of creditor in financial difficult. It studies motive, cause and outcome behavior of stakeholders; Secondary, it takes samples of list companies control right transferring events to make empirical studies to stakeholders, in order to find the main factors of stakeholders' behavior of china list companies in control right transferring. Next, it analyzes influence of each stakeholder in game theory method and their interest conflict. Finally, it puts forward the policy proposes of regulating behaviors of stakeholders and promoting effective control change.Main research contents follows:Chapter One: introduction.
