As a social and political power, NPO is above all an essential economic power. In western society, non-profit sector has risen to be the Third Sector equally important as government and enterprise, and will definitely develop into an indispensable sector among harmonious and plural society. In contrast with foreign countries, non-profit organizations in the true sense are yet to emerge in China .The standardization and development of NPO in China from 1978 to the present have been relatively delayed compared with reforms of government and enterprises. Therefore, what kind of institutional environment is necessary for the development of NPO is an urgent question.This dissertation, adopting Corporation Property Rights Institution as a starting point, focuses on the Corporation Property Rights Institution of NPO and the Governance Structure on its basis. It initiates the concept of Corporation Property Rights Institution of NPO to differentiate it from property rights institution of enterprises, yet aware of the innate relations between the two. The dissertation approaches Corporation Property Rights Institution of NPO by borrowing and enriching the analysis frame and foundation of property rights institution of enterprises, resorting to Property Rights Theory, Principal-Agent Theory, Stake-Holder Theory, and two analysis tools in institutional economics, that is, property rights and transaction costs. It aims to seek an efficient governance model for NPO, for the sake of guiding its development in a better way. For this purpose, it digs into aspects such as the governance structure, patterns of governance and stimulation method, consequently arriving at various research conclusions like co-governance model by stake-holders with sharing rights of control as its basis and superiority incentive and constraint mechanism with public accountabilities as its task. The bottleneck of property rights and the governance in the development of NPO in China are also analyzed and dissected with correspondent development strategies proposed at the end of the dissertation.This dissertation consists seven chapters. Chapter One analyzes the institutional characters of NPOs, their intrinsic property rights features and effects of behaviors. It is the basis for further studies on the establishment of a property rights institution that improves the cost-effectiveness of NPO operation. Chapter Two compares the corporation institution of NPO under the Continental Law System and Anglo-American Law System and analyzes the connotation of the corporation property rights of NPOs. Chapter Three and Four explores the internal and external governance structure of NPOs and its incentive and constraint mechanism which harbors the calls for the effective use of corporation property rights. Chapter Five gives an empirical analysis on the patterns of governance of NPOs, disclosing the contingent state of power allocation in NPOs. Chapter Six illustrates the options of corporation property rights institution in NPOs. Chapter Seven proposes some suggestions on the theories, policies and frameworks of the establishment of the corporation property rights institution of NPOs in China.The development of non-profit organizations is still at a primitive stage in China. In fact, non-profit organizations in the true sense are yet to emerge in China, where the environment is not friendly enough for their growth. That said, the author wishes to start an initial discussion on the corporation property rights institution of NPO, which, hopefully, can be of help for the researches that are to follow.
