AbstractAs the key approach in capital operation under the normal precondition of market economy. Merger and Acquisition (M&A) is guiding the development of the enterprises with the perfecting of the market economic system of organization and the going further of the reformation of the state-owned enterprises, so well as the founding and perfecting of the modem enterprise system.It is the only way to re-conform for the medicament enterprises under the background of the entering into WTO and the going further of the medical system reformation .In the near future, the new round annexing and re-structure will occur between the medical enterprises.On the basis of reviewing and summing-up the developing history and the theory of M&A, this paper focus on studying its present status and the existing problems, especially on the behavior and the reason of the M&A through the case study of Tai Ji Group purchasing the shares of Southwest pharmaceutical. Also this paper analyze the reason and evaluate the plan that Tai Ji Group and SINOCHEM INC purchasing the shares of Southwest pharmaceutical, pointing out that the price has the main effect on M&A. At the same time, It analyzes the factors which effect the purchasing behavior of Southwest pharmaceutical while evaluates the behavior that Tai Ji Group purchasing the shares of Southwest pharmaceutical. The evaluate-model on M&A, which was used to evaluate the price on which Tai Ji Group purchasing the state-owned shares of Southwest pharmaceutical, was put forward .The study achievement will refer our medical industry to realize the large-scale company, large-scale Group and large-scale medical structure through the action of M&A.
