| The dissertation consists of two parts, the case and the case analysis. In the part Of case, there nanates a real company story in details. Because of the machine tools industry抯 depressing and the bad management mechanism of national companies, Changzhen machine tools company in Sichuan which was specialized in machine tools manufactory had dropped into trouble from 1995 to 1997 when the company was listed in Shenzhen stock market. In the trouble, the company turned its business into soft industry in 1998 through buying high quality assets from TOP group, which is a private company founded by Song Ru-hua in 1992. At the same time, the company changed its nam?as TOP Soft LTD Company After that, TOP Soft LTD Company took series of steps to change its main businesses, such as, TOP group controlling the Changzhen machine tools company through M&A; reducing the share of sub-company engaged in traditional industry; TOP Soft spin-outs the traditional assets; investment of new companies; buying high quality assets from TOP group; etc. During the industry reorganization, the management department in TOl~ Soft has paid more attention to management and culture interfuse that gear up the industrial reorganization. In the part of case analysis, after an empirical analyzing the reasons, proceed, result, essence of industrial reorgaijization and why and how to readjust the strategy after industrial reorganization, th?aim is to get the regular laws of successful industrial reorganization in reasons, proceed, result and essence to help the companies which were listed on stock market to improve their industrial structure and performance in long-turn and to meet the needs of accelerating the industrial restructure in China now.
