What this paper introduces is an upgrading,since 1980's, investment and financing style-BOT in the world which was named asForeign Investment Concession Project in our country .While BOT drawattention of quite a lot of goverments, it's complicated legal relationshipperplex them to the same extent. Basing itself upon Chine realities, this paper makes a thorough study on the essence of BOT legal relationship in the point of inference view and with the method of positivism; and on the base of rational knowledge, this paper analyses external BOT legislation and practice, outlines our present BOT situation in the pragmatic angle and with the comparative methodology. Finally , this paper put forward a conclusion that our government should standardize BOT legal relationship though the way of specialized legislation, make it become a operative investment and financing style and promote the development of our infrastructure construction by using the private overseas capital. .
