The Enterprise Listing-by-buying-shell Behavior Study -----follow The Example Of Shanghai Zhonglu Group's Merging Shang

Since the nineties, the enterprises in our country have reached rapidly developing prime time after decades of accumulation and growth. With their strength continuously enhancing, they expand, and thus, the mergers get more and more attentions. As a special form of mergers, listing-by-buying-shell has become one beautiful scenery in the business circles.Firstly, the thesis presents the related principles and ways about the listing-by-buying-shell behavior in the enterprise, and then through the detailed analysis of the case about Shanghai Zhonglu Group's merging Shanghai Yongjiu, the thesis trys to seek the arising main questions and their solutions in the listing-by-buying-shell behavior. In the end, some countermeasures about further integration of listing-by-buying-shell are put forward.This thesis is composed of five chapters. The first chapter presents some important principles and ways about the enterprise listing-by-buying-shell. The second one expounds the choice and price-setting of "shell" resources.Through application of the first-hand materials, the third one analyses detailfully one typical case of listing-by-buying-shell, i. e. Shanghai Zhonglu Group's merging Shanghai Yongjiu, and especially this part combining with the practical situation, systematically studies the relevant principles of listing-by-buying-shell aimed at the typical questions emerging in the merger. The fourth one makes a summary about the main enlightenment and successful experiences in the case, which has a practical guiding significance to other enterprises operation in this respect. The last one combining with the case puts forward one countermeasure of the enterprise integration after its listing-by-buying-shell.
